1. Acceptance of Terms
By accessing or using the DEPH website at deph.io (“the Site”), the token-migration tool, early-access programme, or any related services (“Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Services.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding agreement in your jurisdiction. By using the Services, you represent that you meet these requirements. If you are accessing the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.
3. Description of Services
DEPH provides a website with informational content about the DEPH protocol and ecosystem, a token-migration tool that facilitates the migration of DNA tokens to DEPH tokens, an early-access request form, and a careers portal. The Services are provided “as is” and may be modified, suspended, or discontinued at any time without prior notice.
4. Token Migration
4.1 Nature of the Migration
The token-migration tool allows holders of DNA tokens to submit a migration request by sending tokens to a designated wallet and providing transaction details. Migration is subject to manual verification by the DEPH team. Submitting a migration request does not guarantee approval.
4.2 Irreversibility
Blockchain transactions are irreversible. Once you send tokens to the designated migration wallet, you cannot reverse the transaction through the Site. You are solely responsible for verifying all details before submitting.
4.3 No Financial Advice
Nothing on this Site constitutes financial, investment, legal, or tax advice. Token migration involves risk, and you should consult your own advisors before proceeding.
5. Wallet Connection
When you connect a wallet to the Site using WalletConnect or a compatible provider, you grant the front-end read access to your public wallet address. We never request or access your private keys, seed phrases, or signing authority beyond what you explicitly approve in your wallet software. You are responsible for the security of your own wallet.
6. User Submissions
When you submit information through our forms (early-access requests, job applications, or migration entries), you represent that the information is accurate and truthful. You agree not to submit false, misleading, or duplicate information. We reserve the right to reject or remove submissions that violate these Terms.
7. Intellectual Property
All content on the Site — including text, graphics, logos, diagrams, code, and design — is the property of DEPH or its licensors and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from the Site content without our prior written consent, except as expressly permitted by open-source licences where applicable.
8. Prohibited Conduct
You agree not to:
- Use the Services for any unlawful purpose or in violation of any applicable law or regulation.
- Attempt to gain unauthorised access to our systems, databases, or other users' data.
- Submit automated, scripted, or bot-generated form entries.
- Interfere with the operation of the Site or impose an unreasonable load on our infrastructure.
- Impersonate another person or misrepresent your affiliation with any entity.
- Use the Site to launder money or facilitate any form of financial crime.
9. Disclaimers
9.1 No Warranty
The Services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
9.2 Protocol Risk
Blockchain protocols and smart contracts carry inherent risks, including but not limited to bugs, exploits, regulatory changes, and network congestion. DEPH is not responsible for losses arising from the use of any blockchain network or smart contract.
9.3 Third-Party Services
The Site may contain links to third-party websites or services (e.g. WalletConnect, Ethereum block explorers). We are not responsible for the content, privacy practices, or availability of those services.
10. Limitation of Liability
To the maximum extent permitted by applicable law, DEPH and its team members, contributors, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or tokens, arising out of or related to your use of the Services, whether based on warranty, contract, tort, or any other legal theory.
11. Indemnification
You agree to indemnify and hold harmless DEPH and its team members from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.
12. Modifications
We may revise these Terms at any time by updating this page. The “Last updated” date at the top will reflect the most recent revision. Continued use of the Services after changes are posted constitutes acceptance of the revised Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
14. Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
